Terms of Use – Cheaper Conversions Ltd.

These Terms of Use (“Terms”) govern the provision and use of services offered by Cheaper Conversions Ltd. (“Company”, “Agency”, “we”, “our”, or “us”). By accessing our website, engaging with our services, or entering into a business relationship with Cheaper Conversions Ltd., the client (“Client”, “you”, or “your”) agrees to be bound by these Terms.
Cheaper Conversions Ltd. is a company registered in Sofia, Bulgaria, with its registered office at Strelbishte district 23, entrance 12, apartment 46, Sofia, Bulgaria. The company is owned and represented by James Ryan Onyx.

1. Services and Engagement

Cheaper Conversions Ltd. provides digital marketing and advertising services, including the development and management of online advertising strategies, campaign setup, campaign optimisation, and performance reporting. The exact scope of services provided to a client shall be defined in a separate proposal, agreement, or written communication between the Company and the Client.
Any services not explicitly included within the agreed scope of work shall require additional written approval and may be subject to additional fees.

2. Onboarding and Service Fees

A one-time onboarding or setup fee may apply to new engagements. This fee covers initial account review, strategy development, tracking validation, campaign structuring, and other preparatory work required to initiate service delivery.
Ongoing service fees are typically billed on a monthly basis in advance unless otherwise agreed in writing. All fees are considered earned upon payment and are generally non-refundable unless required by applicable law.

3. Initial Service Period and Performance Ramp-Up

Digital advertising campaigns typically require a ramp-up period during which data is collected, strategies are tested, and performance is optimized. During this period, results may fluctuate and may not reflect long-term performance potential.
The Client acknowledges that early performance indicators during this testing phase may vary and shall not be interpreted as representative of final or stable campaign performance.

4. Scope of Work and Service Limitations

The Company agrees to perform services with reasonable professional care and in accordance with the agreed scope of work. The Company is not responsible for services, deliverables, or results outside the scope defined in the client agreement or proposal.
Additional requests or expansions of the scope of work may require a revised agreement and may involve additional fees.

5. Payments and Billing

Invoices issued by the Company are due upon receipt unless otherwise specified in writing. Failure to pay invoices in a timely manner may result in the suspension or termination of services until payment is received.
All payments are considered final. Chargebacks, payment disputes, or unauthorized payment reversals may constitute a material breach of these Terms and may result in the immediate suspension or termination of services.

6. No Performance Guarantees

While Cheaper Conversions Ltd. applies professional expertise and strategic guidance to improve marketing performance, the Company does not guarantee specific outcomes. This includes but is not limited to guarantees regarding cost per acquisition, return on ad spend, revenue growth, lead volume, or other performance metrics.
Advertising results depend on numerous factors beyond the Company’s control, including market conditions, competition, product-market fit, website performance, and client cooperation.

7. Client Responsibilities

The Client agrees to provide all necessary access, approvals, marketing assets, and information required for the proper execution of services. The Client is responsible for ensuring that all advertising materials, products, and services comply with applicable laws and platform policies. Delays in providing required materials, approvals, or account access may impact campaign timelines, performance, and service delivery.

8. Termination

Service agreements may include a minimum service term as specified in the applicable proposal or agreement. Termination of services prior to the completion of the agreed service period does not release the Client from outstanding payment obligations.
Following the initial service period, either party may terminate the service relationship in accordance with the notice provisions defined in the client agreement or written communication. Requests relating to these rights may be submitted through the contact channels provided on our website.

9. Confidentiality and Intellectual Property

Both parties agree to maintain the confidentiality of non-public information exchanged during the course of the business relationship. Such information shall not be disclosed to third parties without prior consent unless required by law.
All strategic materials, campaign structures, and creative assets produced by the Company remain the intellectual property of Cheaper Conversions Ltd. until all outstanding invoices and fees have been fully paid.

10. Limitation of Liability

To the maximum extent permitted by applicable law, Cheaper Conversions Ltd. shall not be liable for indirect, incidental, consequential, or special damages arising from the use of its services. This includes, but is not limited to, loss of profits, loss of business opportunities, or interruption of business operations.
The Company’s total liability arising from any service engagement shall in no event exceed the total amount of fees paid by the Client to the Company during the preceding three months.

11. Governing Law

These Terms shall be governed by and interpreted in accordance with the laws of the Republic of Bulgaria. Any disputes arising in connection with these Terms or the services provided by the Company shall be subject to the jurisdiction of the competent courts in Sofia, Bulgaria.

12. Amendments

Cheaper Conversions Ltd. reserves the right to update or modify these Terms from time to time. Updated versions will be published on the Company’s website and shall become effective upon publication. Continued use of the Company’s services constitutes acceptance of the updated Terms.
